Terms of Service

Effective October 1, 2026

1. Introduction and Acceptance

Welcome to TradeRepute (“we,” “us,” “our”), a product of Untappd Labs Inc., a Delaware C Corporation doing business as Specie. These Terms of Service (“Terms”) govern your access to and use of the TradeRepute platform, including traderepute.com and all related services (collectively, the “Services”). TradeRepute is a separate product from Specie’s financial services at specie.finance, which are governed by their own terms.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” include both you individually and the entity you represent. If you do not have that authority, or you do not agree to these Terms, you must not use the Services.

2. Eligibility

To use the Services, you must:

  • Use the Services for business purposes, on behalf of a legally formed and validly existing business entity.
  • Be at least 18 years of age and have the legal capacity to enter into binding agreements.
  • Not be located in, organized under the laws of, or a resident of any country or territory subject to comprehensive economic sanctions imposed by the United States (including those administered by the Office of Foreign Assets Control), the European Union or the United Nations.
  • To submit trade references, successfully complete the identity, business and association verification described in Section 5.

We may update or supplement eligibility requirements at any time to comply with applicable legal or regulatory obligations.

3. Description of Services

TradeRepute provides a reputation network in which verified businesses publish anonymous, evidence-backed trade references about companies they have traded with, and in which other users can search companies and purchase reports that include those references.

TradeRepute is not a credit bureau, consumer reporting agency, bank or legal, financial or investment advisor. Reports are provided to support, not replace, your own due diligence. References are the opinions of verified reviewers, and scores are derived from those references. We review evidence before publication, but we do not guarantee that any reference, score or company information is accurate, complete or current. Nothing in the Services should be construed as advice or as a recommendation to do business, or not to do business, with any company.

4. Account Registration and Security

To use the Services, you must create an account (“Account”) and provide accurate, complete and current information about yourself and your business. You agree to update this information promptly if it changes.

You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password and any multi-factor authentication methods. You agree to notify us immediately at support@specie.finance if you become aware of any unauthorized access to or use of your Account. You may not share your Account or let anyone else use it.

We reserve the right to suspend or terminate your Account at any time if we reasonably believe it has been compromised, that you have violated these Terms, or as required by applicable law or regulatory guidance, court orders or regulatory requests.

5. Verification

Only businesses that complete verification may submit trade references. Verification may require you to provide your legal name, date of birth and country of residence, an official registration or incorporation document for the business, a recent commercial document showing the business is actively trading, and proof that you own, direct or are authorized to act for the business, such as a registry match, a verified company-domain email address or a signed authorization letter. We may also request a government-issued identification document.

You represent that everything you submit is genuine, accurate and not misleading, and that you are entitled to share it. We may request additional information at any time, and may approve, reject, suspend or revoke verification in our discretion. Verification is an internal check we perform to protect the network. It is not an endorsement, certification or guarantee of any business.

6. Trade References and Review Standards

If you submit a trade reference, you represent, warrant and agree that:

  • It is based on a genuine commercial relationship between your business and the reviewed company, which you can document.
  • It is truthful, factual and based on your own first-hand experience, and expressed as opinion where it is opinion.
  • It does not contain personal contact details, accusations of crimes, threats, harassment, discriminatory content, or information you are not entitled to share, such as trade secrets or confidential terms of your contracts.
  • You have not received, and will not receive, payment or any other benefit in exchange for the reference, and you have no undisclosed conflict of interest with the reviewed company, such as being a competitor acting in bad faith or a related party.
  • Any evidence you upload is authentic, unaltered and lawfully obtained.

You keep ownership of your content. You grant us a worldwide, non-exclusive, royalty-free license to host, review, edit, redact, publish, display and distribute your reference in anonymized form through the Services, and to use your evidence for verification, moderation, dispute resolution, fraud prevention and legal compliance. We may redact personal or identifying details, request changes, decline to publish, hide or remove any reference at any time. Approval of a reference is not a statement that its contents are true.

We protect reviewer anonymity as described in our Privacy Policy. Reference text, ratings and the year of publication are visible to users who unlock a report. Reviewer identity and evidence are private to you and our compliance team, and are disclosed only where required by law or legal process, or as described in the Privacy Policy. You are responsible for avoiding details in your text that could identify you. Further guidance is in our Review Standards.

7. Reviewed Companies, Claims and Disputes

A company can have a profile without having an account. A verified business may ask to claim the profile of its own company, and we may approve or reject a claim in our discretion based on evidence. Claiming a profile lets a company see its published references and submit corrections and disputes. Claiming does notallow a company to edit, delete or publicly respond to a reference, to contact the reviewer, or to learn the reviewer’s identity.

A claimed company may submit a private dispute about a published reference, for example because there was no commercial relationship, it contains a factual error, it discloses confidential information, or it concerns a different company. We may request information from either side, and we will decide whether a reference stays published, is corrected, or is removed. Dispute outcomes are our decision and do not determine any legal rights or liabilities between the companies. Disputes are conducted between the company and TradeRepute only.

8. Reports and Payments

  • Searching for a company is free once you have an account. A report is sold as a one-time purchase per company, for the price and in the currency shown to you before checkout.
  • Reports can only be purchased for companies that have at least one approved reference, and you are not charged for a company without one.
  • Payments are processed by Stripe and are subject to Stripe’s terms. Access is granted to your Account after payment is confirmed. We do not receive or store your card number.
  • Access to a purchased report stays with your Account and includes references added to that company later. Access is for your own internal business due diligence and may not be shared, resold or republished.
  • Purchases are final once access has been granted, except where required by applicable law or where we decide to issue a refund. Contact support@specie.finance within a reasonable time if you believe you were charged in error.
  • Prices are set by us and may change. A price change does not affect reports you have already purchased. Taxes may apply and are shown where required.

9. Compliance and Regulatory Obligations

You represent and warrant that your use of the Services complies with all applicable laws and regulations in every jurisdiction in which you operate, including trade, export control, sanctions, anti-bribery, privacy and competition laws. You agree to cooperate with our information requests. We may disclose information where required by law or by a regulator, and may refuse, delay, hide or remove any content, or restrict any Account, if we reasonably believe it may violate applicable law or these Terms.

10. Acceptable Use and Prohibited Activities

You agree not to use the Services for any unlawful purpose or in violation of these Terms. Prohibited activities include:

  • Attempting to identify, contact, intimidate or retaliate against an anonymous reviewer, including by analyzing timing, wording or evidence, or by asking others to do so.
  • Submitting fake, fabricated, duplicated, altered or misleading references, accounts, documents or evidence, or reusing another party’s documents.
  • Offering, requesting or accepting payment, discounts or other benefits in exchange for writing, changing or removing a reference, or threatening to publish or remove a reference to obtain something of value.
  • Reviewing your own company or a related party, or coordinating with others to inflate or damage a company’s reputation.
  • Scraping, crawling, bulk downloading or systematically copying reports or search results, or circumventing access controls, paywalls or rate limits.
  • Sharing, reselling or republishing purchased reports, or using the Services to build a competing database.
  • Using the Services to make decisions about consumers, such as credit, insurance, employment or housing eligibility. TradeRepute is a business-to-business service only.
  • Uploading malware, interfering with or disrupting the Services, or attempting to reverse-engineer, decompile or probe the platform’s technology or security.
  • Using the Services for personal or non-business purposes, or in violation of sanctions, export control or other applicable law.

11. Intellectual Property

All content, trademarks, logos, software and technology that make up the Services, other than user content, are the property of Untappd Labs Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. You may not copy, modify, distribute, sell or create derivative works based on the Services without our prior written consent. All rights not expressly granted are reserved.

12. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, error-free, secure or free of harmful components. We do not guarantee the accuracy, completeness or timeliness of any reference, score, company information or other content on the Services, which come from users and third parties. You are solely responsible for your business decisions, including whether to extend credit, ship goods, sign a contract or send funds, and for any losses that follow.

To the maximum extent permitted by applicable law, in no event shall we, our affiliates, officers, directors, employees, agents or licensors be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to your use of or inability to use the Services, regardless of the theory of liability.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend and hold harmless TradeRepute, Untappd Labs Inc. and their respective officers, directors, employees, agents and affiliates from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) any trade reference, evidence or other content you submit; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third party’s rights.

14. Third-Party Services

The Services integrate with third-party providers, including Stripe for payments and infrastructure providers for hosting, authentication and storage. We are not responsible for the acts, omissions, availability or performance of any third-party service. Your use of third-party services is subject to their own terms, and disputes arising from that use should be directed to the applicable third party. We do not endorse, guarantee or assume responsibility for any product, service or content offered by third parties, including the companies that appear in reports.

15. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Grounds include violation of these Terms, suspicion of fraudulent or illegal activity, false or incomplete verification information, attempts to identify reviewers, or a request from a regulatory authority. You may stop using the Services at any time and may ask us to close your Account by contacting support@specie.finance.

On suspension or termination, you may lose access to purchased reports, and we may remove or retain content as described in these Terms and our Privacy Policy. Provisions that by their nature should survive termination, including Sections 6, 11, 12, 13 and 16, will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute, claim or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or remotely by mutual agreement of the parties. The arbitrator’s decision shall be final and binding.

You agree that any claims will be brought solely in your individual or business capacity, and not as a plaintiff or class member in any purported class, consolidated or representative proceeding.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will update the effective date at the top of these Terms and, where practicable, notify you by email or through the Services. Your continued use of the Services after the effective date of a modification constitutes your acceptance of the modified Terms.

18. Miscellaneous

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy, our Review Standards and any additional terms presented to you for specific features, are the entire agreement between you and us regarding the Services. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.

Force Majeure. We shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages or failures of third-party infrastructure providers.
